Statutes, governance and website terms
An overview of the association's statutes and operational framework as an incorporated non-profit in Vanuatu under Registration No. 501668.
1. Legal status
SIS BALEH ASSOCIATION COMMITTEE (INC.) is an incorporated association registered in Vanuatu under Registration No. 501668, with its registered office at Bo. Mata de Caña, Carr. 121, Vanuatu. The association operates exclusively for public benefit and is not carried on for the profit or gain of its individual members.
2. Objects of the association
The objects are community development, local advocacy, sustainable island livelihoods, cultural preservation, environmental protection, and social welfare empowerment for communities across Vanuatu. Assets and income are applied solely to these objects.
3. Membership
Membership is open to residents aged 18 or over of the served communities, subject to nomination and acceptance at a committee assembly. Each member has one vote. Membership may be ended by resignation, non-payment of dues, or resolution of the assembly for conduct contrary to these bylaws.
4. The committee
The affairs of the association are managed by a committee comprising the Chairperson, Secretary, Treasurer and elected ordinary members, supported by kastom elders in an advisory capacity. Office-bearers are elected at the annual assembly and serve two-year terms.
5. Meetings and voting
An annual assembly and quarterly assemblies are held. A quorum is one third of financial members. Ordinary resolutions pass by simple majority of members present; amendments to these bylaws require a two-thirds majority.
6. Finances
All funds are received into a single association account operated under dual signatory control. The Treasurer prepares quarterly statements; an independent reviewer appointed at the annual assembly examines the accounts annually. No portion of income is distributed to members.
7. Conflicts of interest
Any member with a personal or commercial interest in a proposal must declare it before discussion and abstain from the vote. Declarations are recorded in the minutes.
8. Dissolution
On dissolution, remaining assets after settlement of liabilities shall be transferred to another non-profit body in Vanuatu with similar public-benefit objects, and shall not be distributed among members.
9. Website usage
This website is provided for information about the association's work. Content may be reproduced for non-commercial community, educational or research purposes with attribution. Automated scraping, misrepresentation of the association, and use of its name, emblem or registration number without written authorisation are prohibited.
10. Accuracy and availability
We take care to keep information current, but event dates, project figures and programme details may change. The website is provided on an as-available basis without warranty of uninterrupted access.
11. Third-party links and services
Pages may embed third-party services such as maps. Those services are governed by their own terms and privacy policies, over which the association has no control.
